Episurf Medical AB (Episurf Medical or the Company) is a publicly listed Swedish company domiciled in Stockholm. Since June 11 2014, the Company’s shares are listed on Nasdaq Stockholm. In a Company such as Episurf Medical, the governance, management and control functions are divided between the shareholders, the board of directors, the chief executive officer and the executive management in accordance to applicable laws, regulations and instructions.
The articles of association, the companies act, Nasdaq Stockholm’s issuer rules, which includes the Swedish corporate governance code (the Code) as well as other applicable laws and regulations are underlying the governance. Episurf Medical is following the Code as of the date of listing of the Company’s shares on Nasdaq Stockholm’s main market. The Code is based on the principles of “follow or explain”. This means that a Company which follows the Code, can deviate from specific rules, but in such case the Company shall provide an explanation. The Code shall be fully applied as of the first Annual General Meeting following the listing.
